MATERIAL TRANSFER AGREEMENT
This Material Transfer Agreement ("Agreement") is entered into on [Effective Date], by and between:

WHEREAS, the Provider possesses certain biological materials described in Exhibit A attached hereto (the "Materials");
WHEREAS, the Recipient desires to obtain the Materials for the purpose of [Specify Purpose];
NOW, THEREFORE, in consideration of the mutual covenants and premises contained herein, the Parties agree as follows:
1. MATERIAL TRANSFER
1.1 The Provider agrees to transfer the Materials to the Recipient for the purpose specified above.
1.2 The Recipient agrees to use the Materials solely for the purpose specified in this Agreement and in accordance with all applicable laws and regulations.
2. INTELLECTUAL PROPERTY
2.1 Any intellectual property rights arising from the use of the Materials shall be governed by [Specify Intellectual Property Clause, if applicable].
3. PUBLICATION AND DATA SHARING
3.1 The Recipient agrees to provide the Provider with copies of any publications resulting from the use of the Materials, and to acknowledge the Provider in any such publications.
4. CONFIDENTIALITY

5. TERM AND TERMINATION
